Acceptance of Terms

By accessing or using this website (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the "Terms"). These Terms constitute a legally binding agreement between you (the "User") and Kaelo Global Limited, a company incorporated in Meydan Free Zone, Dubai, together with its subsidiaries and affiliated entities (collectively, "Kaelo Global," "we," "us," or "our").

If you do not agree to these Terms, you must immediately cease use of the Site. Your continued use of the Site following the posting of any amendments to these Terms constitutes acceptance of those amendments. We reserve the right to modify these Terms at any time without prior notice. The date of the most recent revision will be indicated at the top of this page.

These Terms apply to all visitors, users, and others who access or use the Site. Additional terms and conditions may apply to specific services, features, or transactions offered through the Site, and such additional terms are incorporated by reference into these Terms. In the event of a conflict between these Terms and any additional terms applicable to a specific service, the additional terms shall prevail with respect to that service.

We reserve the right to restrict or terminate your access to the Site at any time, without notice, for any reason, including but not limited to a breach of these Terms.

Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the compilation thereof (collectively, the "Content"), is the property of Kaelo Global or its content suppliers and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Kaelo Global name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Kaelo Global or its affiliates. You may not use such marks without the prior written permission of Kaelo Global. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and its Content for personal, non-commercial purposes only. This licence does not include the right to: (a) modify or copy the Content; (b) use the Content for any commercial purpose or public display; (c) remove any copyright, trademark, or other proprietary notices from the Content; (d) transfer the Content to another person; or (e) mirror, frame, or otherwise incorporate any portion of the Site on any other website or platform. Any unauthorised use of the Content may violate copyright, trademark, and other applicable laws and could result in civil and criminal penalties.

Services and Advisory Relationship

The provision of advisory services by Kaelo Global is subject to the execution of a separate engagement letter or service agreement between Kaelo Global and the client. Nothing on the Site creates, or is intended to create, an advisory relationship, a fiduciary relationship, or any professional engagement between Kaelo Global and any visitor to the Site.

Descriptions of services on the Site are provided for general informational purposes only and may not reflect the full scope, limitations, or terms of the services as they would be defined in a formal engagement letter. The availability of any service described on the Site may vary by jurisdiction and is subject to applicable regulatory requirements and licensing conditions in each jurisdiction where Kaelo Global operates.

Confidentiality

Any information submitted to Kaelo Global through the Site, including through contact forms, email enquiries, or document upload facilities, is subject to our Privacy Policy and GDPR & Data Protection Policy. We do not guarantee the confidentiality of information transmitted via the internet and strongly advise against transmitting sensitive, confidential, or privileged information through the Site without prior arrangement of encrypted communication channels. Unsolicited submissions of business proposals, investment opportunities, or confidential documents through the Site do not create any obligation of confidentiality on the part of Kaelo Global.

Limitation of Liability

To the fullest extent permitted by applicable law, Kaelo Global, its directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with: (a) your use of, or inability to use, the Site; (b) any content or information obtained from the Site; (c) any unauthorised access to or alteration of your transmissions or data; or (d) any other matter relating to the Site.

The Site and its Content are provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Kaelo Global does not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Kaelo Global does not warrant or make any representations regarding the accuracy, reliability, completeness, or currency of the Content on the Site or the results that may be obtained from the use of the Site or its Content. You acknowledge that any reliance on any Content shall be at your sole risk.

Third-Party Links

The Site may contain links to third-party websites, services, or resources. These links are provided for convenience only and do not signify endorsement by Kaelo Global of any such third-party website or its content. Kaelo Global has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Kaelo Global shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party website.

Indemnification

You agree to indemnify, defend, and hold harmless Kaelo Global, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of the rights of any third party. This indemnification obligation shall survive the termination of these Terms and your use of the Site.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Dubai (DIFC), without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Nothing in these Terms shall limit the application of any mandatory consumer protection laws of your jurisdiction of residence to the extent that such laws cannot be excluded by contract.

Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall first be subject to good faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute. If the dispute is not resolved through negotiation within such period, it shall be finally settled by arbitration administered by the DIFC-LCIA Arbitration Centre in accordance with the DIFC-LCIA Arbitration Rules in force at the time of the arbitration.

The seat of arbitration shall be the Dubai, United Arab Emirates. The arbitration shall be conducted by a sole arbitrator appointed in accordance with the DIFC-LCIA Arbitration Rules. The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction. Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief in the DIFC Courts or any other court of competent jurisdiction for the protection of intellectual property rights or confidential information.

Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The failure of Kaelo Global to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
