An Operating Council, in practice, is a weekly meeting that lasts about ninety minutes. The senior principal from each division attends. The chair is the strategic head of the enterprise. The agenda has three standing sections: cross-divisional decisions that need a call, divisional updates that the other divisions need to know about, and the running file of decisions taken and pending. The minutes are written that afternoon and circulated by end of day.
What the Council decides is specific. Capital deployments above an agreed divisional threshold. Brand attribution changes — whether a portfolio brand carries the group name publicly. Cross-divisional client conflicts — where a client of Advisory is a counterparty to Investments, or where two divisions are competing for the same supplier slot. Jurisdictional structure changes that touch more than one division. Hiring at the principal-bench level.
What the Council deliberately does not decide is operational matters that belong to a division. The Commerce engine decides which marketing channels to weight. The Textiles wing decides which line to schedule which order on. Advisory decides which mandate to accept. If the Council pulls these decisions into the centre, the divisional discipline collapses — and the entire reason for the Council’s existence is to enable divisional discipline.
The cadence is what makes the structure work. A council that meets monthly is too slow for an integrated multi-industry enterprise; the cross-divisional issues compound between meetings. A council that meets daily becomes operational by default. Weekly is the right rhythm — long enough between meetings that the agenda has substance, short enough that no cross-divisional issue waits more than five working days for a decision.
